haha 書上有答案啊,我記得,而且你抄寫的不全 問題: 1.賣方保證貨運(yùn)船只不遲于12月2日駛抵目的港 不能做該保證 因?yàn)閲?guó)際慣例是貨物越過船弦后,貨物的風(fēng)險(xiǎn)和損失由買方承擔(dān),只要賣方在規(guī)定的時(shí)間內(nèi)裝船,就完成了他的義務(wù),這點(diǎn)是多加的義務(wù),而且很不保險(xiǎn). 就本例分析,若接受該點(diǎn),要考慮,從中國(guó)到英國(guó)的船航行時(shí)間較長(zhǎng)(我預(yù)計(jì)在35天左右),這樣賣方就要保證在--10月27日前備貨裝船,此外,最關(guān)鍵的是,賣方根本無法保證船在12月2日前到港,這個(gè)風(fēng)險(xiǎn)不應(yīng)由賣方承擔(dān)(一是因?yàn)楹匠涕L(zhǎng),中途出差錯(cuò)的幾率大,二是因?yàn)榇疽话阌幸?guī)定,延遲到港6個(gè)月內(nèi)都是正常拖班,不會(huì)因此承擔(dān)延遲到港的費(fèi)用) 注:具體幾個(gè)月我忘了,反正有這個(gè)要求,除非另有特殊規(guī)定,只要把承運(yùn)人的貨物沒有丟失或損壞,一般不能向船司索賠) 2.如貨輪遲于12月2日抵達(dá)目的港,買方有權(quán)取消合同,如貨款已收,賣方必須將貨款退還買方 不能接受該點(diǎn) 原因:CIF 買方做好該做的義務(wù),就有權(quán)收款,該點(diǎn)明顯不符和國(guó)際慣例和商業(yè)規(guī)則 解決方法 1.不接受合同,要求修改 2.接受,補(bǔ)加一條,買方的L/C要在9月初或者更早的時(shí)間開到,具體時(shí)間需要周詳安排而知
