Arbitration 仲裁 Arbitration ： Any or all disputes arising from or in connection with the performance of the Contract shall be settled through negotiation by both parties ， failing which they shall be submitted for arbitration，The arbitration shall take place in China and shall be conducted by China International Economic and Trade Arbitration Commission in accordance with the rules of procedures of the said commission. The arbitration award shall be final and binding upon both Buyer and seller. 一般貨物進(jìn)出口合同格式（中英全文對(duì)照） 合同號(hào)： 日 期： 訂單號(hào)： 買(mǎi)方： 賣(mài)方： 買(mǎi)賣(mài)雙方簽訂本合同并同意按下列條款進(jìn)行交易： （１）品名及規(guī)格 （２）數(shù)量 （３）單價(jià) （４）金額 合計(jì) 允許溢短裝＿＿％ （５）包裝： （６）裝運(yùn)口岸： （７）目的口岸： （８）裝船標(biāo)記： （９）裝運(yùn)期限： 收到可以轉(zhuǎn)船及分批裝運(yùn)之信用證＿＿天內(nèi)裝出。 （１０）付款條件： 開(kāi)給我方１００％保兌的不可撤回即期付款之信用證，并須注明 可在裝運(yùn)日期后１５天內(nèi)議付有效。 （１１）保 險(xiǎn)： 按發(fā)票１１０％保全險(xiǎn)及戰(zhàn)爭(zhēng)險(xiǎn)。 由客戶自理。 （１２）買(mǎi)方須于＿＿年＿＿月＿＿日前開(kāi)出本批交易信用證，否則，售方有權(quán)：不經(jīng) 通知取消本合同，或接受買(mǎi)方對(duì)本約未執(zhí)行的全部或一部，或?qū)σ虼嗽馐艿膿p失提出索賠。 （１３）單 據(jù)： 賣(mài)方應(yīng)向議付銀行提供已裝船清潔提單、發(fā)票、中國(guó)商品檢驗(yàn)局或 工廠出具的品質(zhì)證明、中國(guó)商品檢驗(yàn)局出具的數(shù)量／重量簽定書(shū)；如果本合同按ＣＩＦ條件 ，應(yīng)再提供可轉(zhuǎn)讓的保險(xiǎn)單或保險(xiǎn)憑證。 （１４）凡以ＣＩＦ條件成交的業(yè)務(wù)，保額為發(fā)票價(jià)值的１１０％，投保險(xiǎn)別以本售貨 合同中所開(kāi)列的為限，買(mǎi)方如要求增加保額或保險(xiǎn)范圍，應(yīng)于裝船前經(jīng)售方同意，因此而增 加的保險(xiǎn)費(fèi)由買(mǎi)方負(fù)責(zé)。 （１５）質(zhì)量、數(shù)量索賠： 如交貨質(zhì)量不符，買(mǎi)方須于貨物到達(dá)目的港３０日內(nèi)提出 索賠；數(shù)量索賠須于貨物到達(dá)目的港１５日內(nèi)提出。對(duì)由于保險(xiǎn)公司、船公司和其它轉(zhuǎn)運(yùn)單 位或郵政部門(mén)造成的損失賣(mài)方不承擔(dān)責(zé)任。 （１６）本合同內(nèi)所述全部或部份商品，如因人力不可抗拒的原因，以致不能履約或延 遲交貨，售方概不負(fù)責(zé)。 （１７）仲裁： 凡因執(zhí)行本合同或與本合同有關(guān)事項(xiàng)所發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)由雙方通 過(guò)友好方式協(xié)商解決。如果不能取得協(xié)議時(shí)，則在中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)該仲裁 機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁決定是終局的，對(duì)雙方具有同等約束力。仲裁費(fèi)用除非 仲裁機(jī)構(gòu)另有決定外，均由敗訴一方負(fù)擔(dān)。仲裁也可在雙方同意的第三國(guó)進(jìn)行。 （１８）買(mǎi)方在開(kāi)給售方的信用證上請(qǐng)?zhí)钭⒈敬_認(rèn)書(shū)號(hào)碼。 （１９）其它條款： 賣(mài)方： 買(mǎi)方： SALES CONTRACT Whole Doc. 我嘞個(gè)去。這么多條款的合同，好大的買(mǎi)賣(mài)呀。 第20條：賣(mài)方義務(wù) 20.1 按第5節(jié)規(guī)定的公差并按交貨時(shí)間表交付的貨物應(yīng)被認(rèn)為是“總量”?！敖回浫掌凇睉?yīng)當(dāng)是提單日期。 20.2 賣(mài)方有義務(wù)完全足量交付貨物。 20.3 如不能按期足量交付貨物，將會(huì)按逾期未交付貨物的貨值，按每日0.3%的比例懲罰?？偭P款不超過(guò)未交付貨物價(jià)值的5%, 在完全違約時(shí)自動(dòng)聲明。 20.4 在交貨期內(nèi)的任何時(shí)間，如果買(mǎi)方?jīng)Q定接受一次分批交貨而不是等待一次性足量交貨（如果貨物已足量備妥在港準(zhǔn)備裝船），賣(mài)方將不承擔(dān)賠償義務(wù)。 第21條： 買(mǎi)方義務(wù) 21.1 買(mǎi)方承擔(dān)任何金額的罰款用于——本合同中沒(méi)有規(guī)定——本規(guī)定用于：依照賣(mài)方出具的發(fā)票，按發(fā)票提交日期，由排名前50的銀行在不超過(guò)10個(gè)銀行工作日內(nèi)轉(zhuǎn)賬付款。 21.2 按照買(mǎi)賣(mài)雙方的共同通告和在附件No.3的規(guī)定, “預(yù)定抵達(dá)日期”是指船應(yīng)在碼頭旁邊可以實(shí)施貨物交付的日期。
