Arbitration 仲裁 Arbitration ： Any or all disputes arising from or in connection with the performance of the Contract shall be settled through negotiation by both parties ， failing which they shall be submitted for arbitration，The arbitration shall take place in China and shall be conducted by China International Economic and Trade Arbitration Commission in accordance with the rules of procedures of the said commission. The arbitration award shall be final and binding upon both Buyer and seller. Unless otherwise awarded by the said arbitration commission， the arbitration fees shall be borne by the Losing party. 仲裁：在執(zhí)行本合同中所發(fā)生的或者與合同有關的一切爭執(zhí)，由雙方協(xié)商解決。如果協(xié)商后仍不能解決時，得提請仲裁。 仲裁在中國進行，由中國國際經濟貿易仲裁委員會，根據該委員會的仲裁程序規(guī)則進行仲裁。仲裁裁決為最終決定，買賣雙方都應服從。 除仲裁委員會另有決定外，仲裁費用由敗訴一方負擔。 14. Amendments and Waivers 修改和棄權 No amendments, variation, addition or substitution to or for this agreement shall be of any force or effect unless such amendments, variation, addition or substitution is in writing. Any waiver must be made in writing. 除非有雙方書面認可的修改或棄權，否則所有修改或棄權均無約束力。任何棄權均需書面確認。 15. Confidentiality 保密條款 The parties acknowledge and agree that the terms and conditions hereto are confidential and neither party may disclose any of such information without the prior written consent of the other party. 買賣雙方認可并同意對本合同內的規(guī)定及條款保密，任何一方未經過對方書面許可，不得泄露給他人。 16. Notice 通知 All notices, requests, consents, demands and other documents and communications required or permitted by this agreement shall be in written English or Chinese language and may be delivered personally or be sent by telex, facsimile, email or prepaid registered mail addressing to the other party. 本合同所有涉及的通知，請求，同意，要求和其他文件以及必要或許可的溝通，將用中文或英文書寫，可以采取送達。電報，傳真，郵件，掛號信等方式送達對方。 17. The contract is written in both English and Chinese. 我嘞個去。這么多條款的合同，好大的買賣呀。 第20條：賣方義務 20.1 按第5節(jié)規(guī)定的公差并按交貨時間表交付的貨物應被認為是“總量”?！敖回浫掌凇睉斒翘釂稳掌凇? 20.2 賣方有義務完全足量交付貨物。 20.3 如不能按期足量交付貨物，將會按逾期未交付貨物的貨值，按每日0.3%的比例懲罰。總罰款不超過未交付貨物價值的5%, 在完全違約時自動聲明。 20.4 在交貨期內的任何時間，如果買方決定接受一次分批交貨而不是等待一次性足量交貨（如果貨物已足量備妥在港準備裝船），賣方將不承擔賠償義務。 第21條： 買方義務 21.1 買方承擔任何金額的罰款用于——本合同中沒有規(guī)定——本規(guī)定用于：依照賣方出具的發(fā)票，按發(fā)票提交日期，由排名前50的銀行在不超過10個銀行工作日內轉賬付款。 21.2 按照買賣雙方的共同通告和在附件No.3的規(guī)定, “預定抵達日期”是指船應在碼頭旁邊可以實施貨物交付的日期。
