9．支付條件：

10.．付款單據(jù)：
（1）為了支付貨款，賣方應(yīng)向支付銀行程交下列單據(jù)：
①全套清潔無(wú)疵。注明“運(yùn)費(fèi)到付”、空白抬頭、空白背書和通知目的港＿＿已”裝船”的海運(yùn)提單。
②發(fā)票5份：注明合同號(hào)和嘜頭（一個(gè)以上嘜頭應(yīng)分別開發(fā)票）
③裝箱單5份：注明發(fā)貨重量及相應(yīng)發(fā)票的編號(hào)和日期。
④由制造廠出具的品質(zhì)與數(shù)量證明書兩份，如第14條第（1）項(xiàng)中所規(guī)定。
⑤通知買方已裝船的電報(bào)抄送一份。
（2）裝船同時(shí)，賣方應(yīng)將上述單據(jù)副本各一份（本條5項(xiàng)除外）寄送目的港。
11．裝船條件：
（1）賣方應(yīng)于本合同規(guī)定的裝船期前40天，以電報(bào)通知買方如下內(nèi)容：合同號(hào)、品名、數(shù)量、價(jià)值、件數(shù)、毛重、尺碼、港口備妥待運(yùn)日期，以便買方洽訂艙位。
（2）中國(guó)＿＿公司（電報(bào)掛號(hào)：___,將作為買方的船代理洽談艙位。
（3）買方.應(yīng)于船只預(yù)計(jì)抵港日期前10天，將品名、預(yù)計(jì)裝貨日期、合同號(hào)通知賣方，以便賣方安排裝船。賣方應(yīng)于船代理保持密切聯(lián)系。當(dāng)必須換船或船提前或推遲到港時(shí)，買方或其他代理應(yīng)及時(shí)通知賣方。如船只不能在買方通知的船期后30天內(nèi)到達(dá)港口，買方應(yīng)負(fù)擔(dān)自第31天起所帶來(lái)的倉(cāng)租費(fèi)和保險(xiǎn)費(fèi)。
（4）如船只按時(shí)抵達(dá)裝船港口后，而賣方不能按時(shí)備貨裝船，由此產(chǎn)生的空倉(cāng)費(fèi)和滯期費(fèi)由賣方負(fù)擔(dān)。
（5）貨物越過(guò)船舷和脫鉤前的全部費(fèi)用和風(fēng)險(xiǎn)由賣方負(fù)擔(dān)；貨物越過(guò)船舷和脫鉤后的全部費(fèi)用和風(fēng)險(xiǎn)由賣方承擔(dān)。
12．裝船通知：賣方應(yīng)于貨物裝船完畢后，立即以電報(bào)通知買方合同號(hào)、貨物名稱、數(shù)量、毛重、發(fā)票價(jià)值船名和起航日期。若由于賣方未及時(shí)以電報(bào)通知賣方，而使買方不能及時(shí)辦理保險(xiǎn)時(shí)，由此產(chǎn)生以切損失，均應(yīng)由賣方承擔(dān)。
13．質(zhì)量保證：賣方保證貨物采用最好的和未用過(guò)的全新材料，第一流制造工藝，其成品質(zhì)量、規(guī)格和性能與本合同規(guī)定相符。貨物的保證期為貨物抵目的港后＿＿月。
14. 檢驗(yàn)和索賠:
(1)發(fā)貨前,制造人應(yīng)對(duì)貨物的質(zhì)量\規(guī)格\性能和數(shù)量/重量作精密全面的檢驗(yàn),并出具證明書 應(yīng)附有制造廠試驗(yàn)項(xiàng)目和結(jié)果的報(bào)告.。
（2）貨到目的港后，買方將申請(qǐng)中國(guó)商品檢驗(yàn)（以下簡(jiǎn)稱局）對(duì)貨物
的品質(zhì)、規(guī)格和數(shù)量/重量進(jìn)行初檢并出具檢驗(yàn)報(bào)告。如該局發(fā)現(xiàn)規(guī)格或數(shù)量或兩者有出入，除保險(xiǎn)公司或輪船公司的責(zé)任外，買方有權(quán)在貨物到達(dá)目的港后＿日內(nèi)拒收該物或向賣方提出索賠。
（3）如貨物的質(zhì)量和規(guī)格與合同規(guī)定不符，買方將申請(qǐng)商檢局進(jìn)行檢驗(yàn)，并憑檢驗(yàn)報(bào)告有權(quán)向賣方索賠（包括接貨）所有費(fèi)用（檢驗(yàn)、退貨和換貨的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉(cāng)儲(chǔ)費(fèi)和裝卸費(fèi)等）均應(yīng)由賣方承擔(dān)。
（4）若買方提出索賠后30天內(nèi)賣方未予答復(fù),則認(rèn)為賣方已接受上述索賠。
15.人力不可抗拒：凡是制造或裝船運(yùn)輸過(guò)程中，因人力不可抗拒的事故，致使賣方推遲交貨或不能交貨時(shí)，賣方不負(fù)責(zé)任。
16. 遲交貨罰款：除本合同第15條規(guī)定的人力不可抗拒原因外,如賣方不能按合同規(guī)定的時(shí)間交貨,買方應(yīng)同意在賣方支付罰款的條件下延期交。罰款可由支付銀行在議付貨款時(shí)扣除，但罰款不得超過(guò)遲交貨物總價(jià)的5%.。罰款率按每7天收0.5%,不足7天時(shí)以7天計(jì)算。如賣方延期交貨超過(guò)合同規(guī)定10周時(shí)，買方有權(quán)撤消合同此時(shí)，賣方仍應(yīng)不遲地按上述規(guī)定向買方支付罰款。
17．仲裁：凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭(zhēng)議，雙方應(yīng)通過(guò)友好協(xié)商解決；如果協(xié)商不能解決，當(dāng)提交北京中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，根據(jù)該仲裁程序暫行規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力仲裁費(fèi)用由敗訴方承擔(dān)。
18．補(bǔ)充條款：
