DEM/DES SHALL BE CALCULATED/SETTLED AGAINST ALL RELEVANT SUPPORTING DOCUMENTS SUCH AS NOTICE OF READINESS/TIME SHEET/STATEMENT OF FACT. 卸率為12，000噸/晴天（含節(jié)假日）；滯期費率為每天9500美元，速遣費率為滯期費率的一半，不足一天按比例計算。滯期速遣將于卸貨完成后10個工作日結(jié)算。 11. Non-delivery or deferred delivery 不交貨或者遲延交貨 In the event of failure to affect delivery, due to a cause for which seller or buyer is responsible, the cost and expenditure thereof should be undertaken by responsible party. 因為賣方或者買方原因?qū)е虏荒芙回洠a(chǎn)生的相關(guān)費用和損失由責(zé)任方承擔(dān)。 12. Force Majeure不可抗力 Force Majeure： The Seller shall not be held liable for failure delay delivery of the entire lot or a portion of the commodity under this Contract in consequence of any force majeure incidents. 不可抗力：本合同內(nèi)所述全部或部分貨物，如因不可抗力的原因，以致不能履約或不得不延期交貨，賣方概不負(fù)責(zé)。 13. Arbitration 仲裁 Arbitration ： Any or all disputes arising from or in connection with the performance of the Contract shall be settled through negotiation by both parties ， failing which they shall be submitted for arbitration，The arbitration shall take place in China and shall be conducted by China International Economic and Trade Arbitration Commission in accordance with the rules of procedures of the said commission. The arbitration award shall be final and binding upon both Buyer and seller. Unless otherwise awarded by the said arbitration commission， the arbitration fees shall be borne by the Losing party. 仲裁：在執(zhí)行本合同中所發(fā)生的或者與合同有關(guān)的一切爭執(zhí)，由雙方協(xié)商解決。如果協(xié)商后仍不能解決時，得提請仲裁。 仲裁在中國進(jìn)行，由中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，根據(jù)該委員會的仲裁程序規(guī)則進(jìn)行仲裁。仲裁裁決為最終決定，買賣雙方都應(yīng)服從。 除仲裁委員會另有決定外，仲裁費用由敗訴一方負(fù)擔(dān)。 14. Amendments and Waivers 修改和棄權(quán) No amendments, variation, addition or substitution to or for this agreement shall be of any force or effect unless such amendments, variation, addition or substitution is in writing. Any waiver must be made in writing. 除非有雙方書面認(rèn)可的修改或棄權(quán)，否則所有修改或棄權(quán)均無約束力。任何棄權(quán)均需書面確認(rèn)。 15. Confidentiality 保密條款 The parties acknowledge and agree that the terms and conditions hereto are confidential and neither party may disclose any of such information without the prior written consent of the other party. 買賣雙方認(rèn)可并同意對本合同內(nèi)的規(guī)定及條款保密，任何一方未經(jīng)過對方書面許可，不得泄露給他人。 16. Notice 通知 All notices, requests, consents, demands and other documents and communications required or permitted by this agreement shall be in written English or Chinese language and may be delivered personally or be sent by telex, facsimile, email or prepaid registered mail addressing to the other party. 本合同所有涉及的通知，請求，同意，要求和其他文件以及必要或許可的溝通，將用中文或英文書寫，可以采取送達(dá)。電報，傳真，郵件，掛號信等方式送達(dá)對方。 17. The contract is written in both English and Chinese.
